Changes in Object Clause:
  • A business is driven by the objects it desires to pursue and records it in writing. These objects are recorded in one of the constitution documents of the company called a memorandum of association or MOA.

Process for change of Object Clause:
  • Primary approval for change in the object clause should be taken from the board of directors of the company by means of a resolution.
  • In the same board meeting for further approval from members of the company, a notice calling EGM of members should be issued.
  • The resolution for changes in objects of the company should be placed before the members for their approval.
  • The members can then approve the matter by passing a special resolution.
  • The company should ensure filing of requisite forms within the prescribed time period and intimations with the ROC .
  • Intimate and inform other stakeholders or authorities, if any, regarding the changes.
