- A company is required to have a registered office within 30 days of its incorporation. The registered office of a company is its primary place of business and correspondence. In case a company intends to shift its registered office from one place to another, it can very well do so after complying with all necessary documentation and formalities.
Procedure to be followed:
Convening Board Meeting:
- The meeting of the board of directors of the company is to be convened to pass a resolution for shifting of the registered office of the company from one place to another within the same city, town, or village.
Intimation to ROC:
- Once the resolution for shifting the registered office of the company is passed by the board of directors of the company, notice is to be sent to ROC of the change in the registered office of the company within 15 days.
Shifting beyond local limits within the same state:
- In case of shifting the registered office beyond the local limits of the city, town, or village within the same state, a special resolution is to be passed in the meeting of the members of the company in addition to the above-mentioned procedure.
Shifting of registered office to another state:
- In case of shifting the registered office of the company from one state to another state or from the jurisdiction of one roc to another, along with the above-mentioned formalities an application is to be filed with the regional director.
